Terms of Service

1. Acceptance

By downloading, installing, or using MimicScribe ("the App"), you agree to be bound by these Terms of Service. If you do not agree, do not use the App. These terms apply to all versions of MimicScribe, including beta releases.

2. License

We grant you a personal, non-exclusive, non-transferable, revocable license to use MimicScribe on Apple-branded hardware that you own or control, solely for your own personal or professional purposes. You may not sublicense, sell, resell, transfer, assign, or exploit the App commercially without our written permission.

3. AI Features

MimicScribe integrates with Google's Gemini API to provide AI-powered features such as meeting summaries, real-time assistant queries, and text refinement. By using these features:

• You agree that transcribed text may be sent to Google's servers for processing.
• You acknowledge that AI outputs may be inaccurate, incomplete, or inappropriate for your use case.
• You are responsible for reviewing AI-generated content before acting on it or sharing it with others.
• You agree to Google's Gemini API Terms of Service.

4. Recording Consent

MimicScribe can record microphone input and system audio. You are solely responsible for ensuring that you have obtained all necessary consents before recording any conversation, meeting, or audio session. Specifically:

• You must inform all participants in a conversation that they may be recorded, where required by applicable law.
• Recording laws vary by jurisdiction. Many regions require all-party consent. Consult a legal professional if you are unsure of your obligations.
• We are not liable for any unlawful recording made using the App.

5. Billing

Unlimited AI features require a Pro subscription, billed through Polar. Free users have daily caps on AI features. By subscribing:

• You agree to Polar's Terms of Service.
• Subscription fees are charged monthly or annually depending on the plan selected.
• Refunds are handled on a case-by-case basis. Contact legal@mimicscribe.app for billing disputes.
• We reserve the right to change pricing with 30 days' notice.

6. Disclaimer

THE APP IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT TRANSCRIPTIONS OR AI OUTPUTS WILL BE ACCURATE. USE OF AI-GENERATED CONTENT IS AT YOUR OWN RISK.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE APP, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE MONTHS PRECEDING THE CLAIM.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Oregon, United States, without regard to its conflict-of-law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Oregon, and you consent to the personal jurisdiction of such courts.

9. Changes

We may update these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page. Continued use of the App after changes are posted constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the App.
